Statement By Gemplus

Luxembourg - Tuesday, 3 September 2002 - Gemplus International SA (Paris Euronext: Euroclear 5768 and Nasdaq: GEMP). Gemplus has noted reports in the press concerning comments attributed to Mr Ziad Takieddine, a director of Gemplus, following the Gemplus Board meeting last Thursday 29th August, which appointed Mr Alex Mandl to be Chief Executive Officer.

Dominique Vignon, Chairman of Gemplus said:
"On behalf of the company and myself, I deplore both the fact that a director has breached the confidentiality of Board discussions and in particular that he is quoted as uttering statements which are without foundation. This behaviour is certainly not condoned and will be addressed. In the meantime, I reiterate the Board's and my personal strong support for Alex and trust that no credence will be given to Mr Takieddine's reported statements."
