Annual General Shareholders Meeting

Luxembourg, 29 April 2003 - Gemplus International S.A. (Euronext: Sicovam 5768 and NASDAQ:GEMP) held its annual ordinary general shareholders meeting today, followed by an extraordinary shareholders meeting.

All of the resolutions submitted to the ordinary general meeting were approved by a large majority. The 2002 financial statements of the Group were ratified.

The extraordinary general shareholders meeting adopted a resolution to eliminate cumulative voting for the election of Directors, thereby reverting to the standard majority rule for elections of Directors.

At a Board meeting immediately following the shareholders meeting, the Board agreed to provide continued financial support to certain of its wholly-owned subsidiaries in order for them to meet their contractual and financial obligations in the course of 2003, including the main French subsidiary of the Group Gemplus S.A.

Mr. Dominique Vignon, Chairman of the Board, stated : " The decision of the Board to provide continual to its French subsidiary shows the importance for the Group of the durability of those major elements of its production and Research & Development activity. "
