Gemplus International S.A. annual ordinary and extraordinary shareholders meeting

Luxembourg - April 27, 2004 - Gemplus International S.A. (Euronext: LU0121706294 - GEM and NASDAQ: GEMP), the world's leading provider of smart card enabled solutions, held its annual ordinary general shareholders meeting today, followed by an extraordinary shareholders meeting.

All of the resolutions submitted to the ordinary and extraordinary general meeting were approved by a large majority. The 2003 financial statements of the Group were approved, as well as the appointment of three new board members: MM. Michel Akkermans. Kurt Hellström, John Ormerod.

Mr. Dominique Vignon, Chairman of the Board, stated: "During this general meeting, it was clear that the recovery of the Company is on track. The Board of Directors fully supports the management team, and will continue to contribute to the development of Gemplus."
